C3 AI is seeking a highly qualified Lead Commercial Counsel to join the C3 AI Legal team. The candidate will perform a broad range of legal work, with a focus on supporting the Sales and Alliances organizations on commercial engagements. Candidate will help align deal structure, draft and review commercial and alliance agreements, advise members of management on various issues within assigned areas, and report to the General Counsel.

Responsibilities:

The Lead Commercial Counsel will be responsible for overseeing a dynamic, fast-paced commercial legal team. Specifically, you will:



  • Lead the drafting, review, and negotiation of customer, licensing, vendor, and partnership agreements, aligning them with overarching business goals.
  • Think on your feet to negotiate and draft contracts quickly and practically in order to facilitate fast closure of end customer deals.
  • Manage a team of commercial attorneys all rowing in the same direction.
  • Develop and scale an efficient, low-friction contract life cycle for an increasing number of commercial transactions.
  • Serve as a key advisor to Sales and Finance leadership, providing strategic guidance on complex commercial and financial operations.
  • Obtain and maintain a comprehensive understanding of the company's products (current and emerging) and become a subject matter expert and advisor on relevant regulatory regimes.
  • Deliver training programs to internal stakeholders and establish policies and best practices for compliance.
  • Build relationships with people and leaders across the organization.
  • Develop systems to automate and measure efficiency in the contract review process in order to scale the work and team over time.
  • Be ready to roll up your sleeves and wear multiple hats to help the company grow.


Qualifications:



  • JD from top law school; Active membership in at least one U.S. State bar; registered or eligible to be registered with the California Bar.
  • 12+ years of experience in commercial law, including 3+ years at a premier law firm. Prior in-house commercial law leadership experience required.
  • Expertise in drafting, reviewing, and negotiating a wide range of commercial agreements, including vendor, customer, and partnership contracts.
  • Demonstrated ability to manage a team of legal professionals and collaborate effectively with other departments.
  • Excellent verbal and written communication, analytical, and interpersonal skills.
  • Must be a motivated self-starter able to multi-task in a dynamic environment.
  • Ability to work both independently and collaboratively across diverse teams, while meeting deadlines and taking ownership of projects.
  • Deep substantive knowledge of enterprise software, SaaS, PaaS and other software licensing and distribution, strategic alliances, channel sales and distribution models, an intellectual property.
  • High ethical standards and a commitment to maintaining confidentiality and integrity in all legal matters.
  • Experience designing workflows for contract lifecycle management (CLM) platforms.
